Is there a clear cut difference between Project Mgmt & Product Mgmt? Any Project Mgrs currently working w/Product Mgrs in a software co. that are experiencing overlapping responsibilites?

I agree with these definitions. The culture in my company is that Product Management is viewed as the be-all, end-all. Program Management has been reduced to Program Administration. In fact, many Program Managers report into Product Managers. This has chased off many good Program Managers. The struggle has been trying to change this paradigm. The culture is to use influence, persuasion and change management in lieu of strong sponsorship and leadership at the top. Often this is like pushing on a rope. Has anyone solved a problem like this?

As Andy Jordan mentioned, there are some great role definitions in the Microsoft Solutions Framework (MSF). For details, go to http://microsoft.com/msf and then download the MSF Team Model White Paper. You can then adapt them to your organization.
