C. Procurement (b) should be negotiating the contract through their regular (d) process (including a review by the legal team). They need to be involved, not only to help with risk (2) assessments, but also to set the SLA expectations. The PM would be the one to know the impact to the business if and when a failure occurs. They should also be able to put forth appropriate terms if these SLA are not met. When the Pm is not involved (a) your PM will need to read the document and consult it often. They will most likely have questions they need answered with the negotiators. cutting the PM out inefficient.
