I see conflicts of interest as yet another bad behavior that undercuts trust. And, in most situations where the project manager has limited positional authority over his matrixed team members and stakeholders, trust is the essential element toward motivating them to do what needs to be done. If the project manager can not be trusted because of their conflicts of interest, then their is little reason to follow their leadership.
